(hereinafter referred to as the “The Client”) which expression shall, where the context so requires, include its/his personal representatives, heirs, successors in title and assigns holds the above account(s) with Credit Bank PLC (hereinafter referred to as the “Bank”), which expression shall, wherethe context so requires, include its personal representatives, heirs, successors in title and assigns:
- Among other modes of communication, The Clientintends to use the above email address as an official source of communication/instructions to the Bank.
- The Bank has, at the request of The Client and in consideration of The Client executing this Indemnity, agreed to recognize the above mentioned email address as a source of official communication fromThe Client and further agrees to rely upon instructions/communication from the said email address as a proper, authentic, official and legitimate instructions from The Client.
- Now, Therefore, it is Hereby Agreed as Follows:
1. The Client hereby undertakes to indemnify (on a full and unqualified indemnity basis) and hold harmless the bank from and against all claims, demands, liabilities, taxes, costs, losses, charges, actions, damages, suits, sanctions penalties and expenses (including but without limitation to all legal costs) which the Bank may incur or suffer arising out of or in connection with the Bank communicating to, receiving, executing and in whichever way relying on communication and/or instructions from and or to the above email address.
2.The Client shall not have any recourse whatsoever against the Bank if the Bank shall send to, receive, execute and in any way act on
communication and/or instructions received from the above email address.
3. The Client undertakes to exercise extra precaution to guard against misuse of the above email address and that it shall ensure secrecy of its
Passwords etc. For avoidance of doubts, it will not be the Bank’s duty to reconfirm any information and or instructions emanating from the said email address. The fact that the information, communication and or instructions emanate from the above email address will be sufficient for the Bank officials to rely upon.
